1. Terms Used:

a) The “Company” means Matryx Ltd whose registered office is at Woodstock Business Park, Royton, Oldham, Lancs, OL2 6HL, England, (company registration Number 5366702).

b) “Conditions” means the terms and conditions for the purchase of goods set out below.

c) The “buyer” means the Distributor or Customer to Whom the Goods will be invoiced.

d) “Order” means the written offer of the “buyer” to the “Company” to purchase the Goods, and the Buyer’s Acceptance of their supply.

e) “Goods” means the goods specified in the Order.

f) “Party” or “Parties” means each “Company” and the “Buyer”.

2. Title of Goods

a) The property in the Goods, whether delivered or not, shall remain that of the Company and shall not pass to the Buyer until all sums due to the Company in respect of the goods have been paid in full.

3. Entire Agreement

a) Unless otherwise agreed in writing, this contract constitutes the only terms governing the contractual relationship between the Company and the Buyer in relation to the Goods. Any terms or conditions quoted or offered by the Buyer, whether before or after the placing of the Order, are void and of no effect whatsoever.

b) This contract shall not in any way exclude or limit the Operation of any terms or conditions implied by statute or common law, except to the extent that they are inconsistent with this contract, in which event this contract shall prevail.

4. General

a) The Buyer acknowledges that the Company shall make a search with a credit reference agency and keep a record of that search on computer or in manual records and may share that information with other businesses. The Company may also make enquiries about the Principal directors with a credit referencing agency.

b) If any part of these terms and conditions that is not fundamental is found to be illegal or unenforceable, such finding will not affect the validity or enforceability of the remainder of these terms and conditions.

c) The Company shall not have any liability under, or be deemed to be in breach of this contract, for any delays Or failures in performance of this Agreement, which Result from circumstances beyond its reasonable control. The Company shall promptly notify the Buyer in writing or if not reasonably possible, by telephone or other communication when such circumstances cause a delay, or failure in performance, and when they cease to do so. Such circumstances could include an Act of God, war, terrorist activity, civil strife, riot, industrial dispute, natural or industrial disaster, fire, adverse weather or road conditions, or any part thereof.

5. Pricing

a) All prices quoted are in pounds sterling (£), net, exclusive of VAT and are carriage paid utilising transport to mainland UK.

b) Payment terms are strictly net monthly. The Company maintains a proactive credit control policy and we therefore would request your co-operation in meeting our terms promptly.

c) All pricing is based on a minimum of six (6) pallets of product sold in full pallet quantities.

d) All prices quoted are valid from date of acceptance; terms and conditions must be accepted within thirty days (30) of date of issue.

e) The Company reserves the right to review any part of its pricing, should market forces necessitate a price adjustment, and will give a minimum of one month’s notice period of price adjustment to products and or services.

f) The Buyer shall pay the price for the Goods, as stated on the invoice, and not as stated on any quotation, estimate or documentation, or orally stated.

g) The Company shall be entitled to charge interest on payments not received within a net monthly period at the rate of 2.5% per annum above the base lending rate, accruing daily.

6. Ordering and Booking-in

a) The Buyer must place all orders by 3pm via telephone, fax, e-mail or EDI on the allocated order day to ensure delivery within five to seven working days.

b) Where possible deliveries are booked in, 24 hours prior to actual delivery of the goods.

c) Orders for Goods may not be cancelled or suspended without the Company’s prior written consent. Any Cancellation or suspension of an order the Company does not agree to shall be on the condition that the Buyer shall indemnify the Company against any loss incurred wholly or in part by the cancellation or suspension.

7. Delivery

a) Delivery will be via the Company’s transport of choice comprising of either a side loaded rigid drawbar or articulated vehicle.

b) On delivery of Goods the Buyer should acknowledge Receipt of Goods by signing the Company’s delivery Notes and returning a copy to the carrier.

c) On delivery of Goods to the agreed delivery address, it Is the Buyer’s responsibility to unload the vehicle in a safe and practical manner.

d) Pallets used in the delivery of Goods are a four-way Entry with a full perimeter base of nailed wooden construction and the Buyer should return (or exchange) in the same condition they were supplied.

e) Companies who do not return (or exchange) pallets to the Company are subject to a pallet charge of £4.50 per pallet.

f) If the goods delivered are part shipped, the Contract is to be treated as a single contract and not as a separate contract for each instalment.

8. Goods

a) The quantity and description of the Goods shall be set out in the Company’s quotation. The Company may make any changes in the specification of the Goods, which do not materially affect their quality or performance required to conform with any applicable statutory requirements where the goods are supplied to the Company’s specification.

c) Any description given by the Company: a. Is only for the purpose of identification of them and is not a sale of goods by description. b. Is not relied on by the Buyer when making an order.

9. Claims

a) The buyer will notify the company of damages and short delivery within three (3) working days of receipt of Goods.

10. Risk

a) The risk in the Goods shall pass to the Buyer on delivery of the Goods.

11. Exchange Rates

a) Should Goods be invoiced in a currency other than pounds sterling (£) then this will be subject to the exchange rate agreed by the Parties at the time of quotation. However, the Company reserves the right to review the quoted Exchange rate should this change.

12. Variation

a) The terms of the contract may only be varied by written agreement between the Parties.

13. Law and Jurisdiction

a) English Law shall govern the Contract, and the Parties agree to submit to the exclusive jurisdiction of the English Courts.

14. Third Parties

a) For the purpose of the Contracts (Rights of Third Parties) Act 1999, and notwithstanding any other provision of these conditions, it is not intended to, and does not; give any person who is not a party to, the Conditions, any right to enforce any of its provisions.

15. Data protection Statement

a) The company places paramount importance on providing the Buyer with a customer service, to meet the Buyer’s expectation on every occasion. As such We, the Company, need accurate information and will keep all information in strict confidence, other than where the Company is legally compelled to do otherwise. The Company may make use of information given to us by the Buyer, or from any enquiries the Company makes in establishing an Order with the Buyer, with a view to providing a supply of goods, as soon as possible. This means that from time to time parties, such as banks or other financial institutions, to carry out appropriate credit reference searches to help the Company with the administration of its business relationship with the Buyer.
